What type of company is right for me?
It depends on the number of partners, the line of business and how you want to manage it. During the consultation we compare the options, such as the corporation (sociedad anónima, S.A.) and the limited liability company (sociedad de responsabilidad limitada, S.R.L.), and recommend the most suitable one.
I already have a company. What obligations must I meet?
Among others: keeping the corporate books up to date, paying the tax on legal entities, filing tax returns with the Ministry of Finance (Hacienda), and filing the annual report with the Central Bank’s Registry of Transparency and Beneficial Owners. Failing to comply results in fines.
I have a company I no longer use. What should I do with it?
Keeping it inactive does not release it from its obligations or from fines. We assess whether it is better to dissolve and liquidate it or to bring it into compliance and put it to new use.
I am starting a business with partners. What should we sign?
In addition to incorporating the company, we recommend a shareholders’ agreement covering contributions, decision-making, profit distribution and what happens if a partner wants to leave. It is the best way to protect both the business and the relationship between the partners.
